When to use it

A statement of work describes one specific project: what gets delivered, by when, for how much. It inherits the legal terms of the MSA, so it stays short and focuses on scope and payment.

What's inside

  1. Services and deliverablesThe actual scope of one project — the list of things that will be produced.
  2. TimelineStart and end dates and milestones.
  3. FeesThe price for this specific project and how it’s charged. In negotiation: Tie payment to something observable — a date, a milestone, an acceptance — never to the other side’s internal processes.
  4. AcceptanceHow the customer signs off deliverables, and what happens if they go quiet. In negotiation: Deemed acceptance after N days protects the supplier; customers should make sure N is long enough to actually test.
  5. Incorporation of master termsStates that the SOW sits under the MSA and that the MSA wins in a conflict.
